Terms and Conditions of Use

These Terms and Conditions of Use govern access to and use of the JurisFlow platform, including its website, web application, mobile applications, software, features, tools, content and related services.

JurisFlow is a legal practice management and legal operations platform designed to assist lawyers, law firms, legal departments and authorised legal professionals in organising, managing and monitoring legal work.

These Terms and Conditions constitute a legally binding agreement between you and JurisFlow. Depending on the manner in which JurisFlow is provided to you, references to "JurisFlow", "we", "us" or "our" mean the JurisFlow platform operator, while references to "you", "your" or "User" mean the person accessing or using the platform.

By creating an account, accessing, subscribing to, or using JurisFlow, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions and our Privacy Policy.

JurisFlow is a technology platform designed to assist legal professionals and organisations with the administration and management of legal work.

Depending on the subscription and configuration applicable to an account, JurisFlow may provide functionality including:

  • matter and case management;
  • client management;
  • document storage and organisation;
  • document version management;
  • court appearance and legal calendar management;
  • deadline and reminder management;
  • task assignment and monitoring;
  • conflict checking and conflict management;
  • internal team collaboration;
  • legal workflow management;
  • practice and matter reporting;
  • billing and operational reporting;
  • firm administration;
  • notifications and alerts;
  • search and information retrieval;
  • audit and activity records;
  • access-control management; and
  • other legal technology and practice-management functionality introduced by JurisFlow from time to time.

JurisFlow is intended to facilitate the organisation and administration of legal work. It does not replace the professional judgement, supervision or legal responsibilities of a lawyer or law firm.

3. Eligibility

JurisFlow may be used by lawyers, law firms, legal departments, legal practitioners, law students, legal support personnel, administrators and other persons authorised by JurisFlow or an account administrator, subject to the applicable subscription and access rights.

Where a User accesses JurisFlow on behalf of a law firm, company, partnership, chambers or other organisation, that User represents that they have authority to accept these Terms on behalf of that organisation.

Users must provide accurate and current information when creating an account and must update such information when it changes.

JurisFlow may refuse registration or restrict access where it reasonably believes that an account has been created using false, misleading, fraudulent or unauthorised information.

4. User accounts and account security

Certain JurisFlow functions require registration and the creation of an Account.

You are responsible for maintaining the confidentiality and security of your login credentials.

You must not:

  • share your password with unauthorised persons;
  • permit another person to use your account without authorisation;
  • attempt to access another User's account;
  • create an account using another person's identity;
  • circumvent authentication or access-control mechanisms; or
  • permit unauthorised persons to access confidential client or firm information through your account.

You are responsible for activities undertaken through your Account unless the activity resulted from a security failure attributable to JurisFlow.

You must promptly notify JurisFlow if you suspect that your account credentials have been compromised or that an unauthorised person has accessed your account.

JurisFlow may require additional authentication, including multi-factor authentication, where reasonably necessary to protect the Platform and User data.

5. Law firm and organisational accounts

Where JurisFlow is subscribed to by a law firm, company, legal department or other organisation, the organisation may designate one or more administrators.

An administrator may have authority to:

  • create and deactivate User accounts;
  • assign roles and permissions;
  • allocate Users to matters;
  • control access to documents and client records;
  • manage subscriptions;
  • configure security settings;
  • review activity logs;
  • manage organisational information; and
  • perform other administrative functions made available by JurisFlow.

The organisation is responsible for ensuring that its use of JurisFlow complies with its legal, contractual, regulatory and professional obligations.

An organisation is also responsible for ensuring that its authorised Users comply with these Terms.

6. Professional responsibility

JurisFlow is a technology service and does not assume the professional responsibilities of a lawyer, law firm or legal practitioner.

Where JurisFlow is used in connection with legal practice, the User remains solely responsible for:

  • professional judgement;
  • legal advice provided to clients;
  • legal research and analysis;
  • filing documents;
  • court appearances;
  • compliance with procedural requirements;
  • compliance with limitation periods;
  • compliance with professional obligations;
  • conflict-of-interest determinations;
  • client communication;
  • verification of information;
  • protection of client confidentiality;
  • management of client funds where applicable; and
  • all other obligations imposed upon the legal practitioner or law firm.

JurisFlow may provide reminders, alerts, workflow tools or calendar functionality. Such functionality does not constitute a guarantee that a legal deadline, hearing, filing date or other professional obligation has been identified correctly.

Users must independently verify all critical dates, court information, procedural requirements and legal obligations.

9. Client data and user content

Users retain ownership of Content and Client Data that they lawfully upload to JurisFlow, subject to the rights necessary for JurisFlow to provide its Services.

You grant JurisFlow a limited, non-exclusive, revocable where applicable, worldwide licence to host, store, reproduce, process, transmit and otherwise use your Content solely to the extent reasonably necessary to:

  • provide the Services;
  • maintain and secure the Platform;
  • perform backups;
  • provide technical support;
  • prevent fraud or abuse;
  • comply with applicable law; and
  • perform contractual obligations under these Terms.

JurisFlow does not acquire ownership of a User's client files merely because those files are uploaded to the Platform.

Users remain responsible for ensuring that their Content does not infringe the rights of another person.

10. Document storage and management

JurisFlow may provide secure document storage, organisation, version control and document-management functionality.

Users are responsible for ensuring that documents uploaded to the Platform are accurate, complete and lawfully obtained.

Users should maintain appropriate independent copies or backups of critical documents where necessary for their professional obligations.

JurisFlow will take reasonable measures to preserve stored information but does not warrant that data will never be lost, corrupted, altered or rendered temporarily inaccessible.

Users should not rely exclusively upon JurisFlow as the sole repository for documents where professional rules, court requirements, contractual obligations or prudent practice require independent preservation.

11. Court dates, deadlines and reminders

JurisFlow may provide calendar functions, deadline tracking, notifications and reminders.

These features are administrative tools only.

A notification, reminder or calendar entry does not constitute confirmation that a court date, filing deadline, limitation period or other legal deadline is accurate.

Users remain responsible for independently confirming all dates and deadlines from authoritative sources, including applicable court records, orders, notices, statutes, rules and official communications.

JurisFlow shall not be responsible merely because a User failed to receive, notice, review or act upon a reminder or calendar notification.

12. Conflict checking

JurisFlow may provide functionality designed to assist Users in identifying potential conflicts of interest.

Conflict-checking functionality is an administrative and technological aid. It does not constitute a professional conflict-of-interest determination.

Users remain responsible for conducting appropriate conflict checks and determining whether a conflict exists under applicable law, professional rules, client obligations and the circumstances of the proposed engagement.

A failure by JurisFlow to identify a potential conflict does not constitute confirmation that no conflict exists.

13. Acceptable use

You agree to use JurisFlow only for lawful and legitimate purposes.

You must not use the Platform to:

  • violate any applicable law or regulation;
  • infringe intellectual property rights;
  • obtain unauthorised access to accounts, systems or data;
  • introduce malware, viruses or other malicious code;
  • interfere with the operation or security of JurisFlow;
  • attempt to reverse-engineer or circumvent the Platform;
  • scrape or systematically extract Platform data without authorisation;
  • upload unlawful, fraudulent or defamatory material;
  • impersonate another person;
  • use another person's account without authority;
  • store information that you have no legal right to process;
  • attempt to compromise another User's confidentiality;
  • use JurisFlow for unauthorised surveillance;
  • interfere with another User's access to the Platform; or
  • use the Platform for any purpose prohibited by these Terms or applicable law.

JurisFlow may investigate suspected violations and take reasonable action where necessary.

14. Data protection and privacy

JurisFlow recognises the importance of protecting personal information processed through the Platform.

Personal data shall be processed in accordance with applicable data protection legislation, including the Nigeria Data Protection Act 2023, where applicable.

Depending upon the circumstances of processing, JurisFlow may process personal data as a data processor or otherwise in accordance with the applicable legal relationship between JurisFlow and the User.

Law firms and other organisations using JurisFlow remain responsible for ensuring that their processing of personal data through the Platform has a lawful basis and complies with applicable data protection obligations.

Users should not upload personal data to JurisFlow unless they have an appropriate lawful basis or authority to do so.

Further information concerning the collection, use, storage, disclosure and protection of personal data is contained in the JurisFlow Privacy Policy.

15. Information security

JurisFlow will maintain reasonable technical and organisational safeguards designed to protect the Platform and information processed through it.

Security measures may include access controls, authentication mechanisms, encryption, activity monitoring, logging, backup procedures and other safeguards appropriate to the nature of the Services.

No electronic system, internet transmission or storage environment can be guaranteed to be completely secure.

Users acknowledge that security risks may arise from factors outside JurisFlow's reasonable control, including compromised User credentials, unauthorised devices, third-party infrastructure, malware, phishing attacks and other cyber incidents.

Users are responsible for maintaining appropriate security practices on their own devices and networks.

16. Artificial intelligence and automated features

Where JurisFlow introduces artificial intelligence, machine learning, automation or other computational features, such features shall be used only for the purposes communicated by JurisFlow.

AI-generated or automated outputs may contain errors, omissions, inaccuracies or incomplete information.

Users must independently review and verify any output before relying upon it in legal, commercial, professional or other consequential matters.

AI-generated content must not be treated as a substitute for professional legal judgement.

Where AI functionality processes Client Data or personal data, such processing shall be subject to the applicable privacy and data-processing terms disclosed by JurisFlow.

17. Third-party services

JurisFlow may integrate with or depend upon third-party services, including cloud infrastructure providers, payment processors, communication platforms, authentication services, document services, calendar services and other technology providers.

Third-party services may be governed by separate terms and privacy policies.

JurisFlow does not control the operation, security, availability or policies of independent third-party services.

Where a third-party service becomes unavailable, changes its functionality or terminates its service, corresponding JurisFlow functionality may be affected.

18. Fees, subscriptions and payments

Certain JurisFlow features may require payment of subscription or other applicable fees.

The applicable pricing, billing cycle, subscription limitations and payment terms shall be communicated at the time of subscription or through the Platform.

Unless otherwise stated, subscription fees are payable in advance.

Failure to make required payment may result in suspension or restriction of access following reasonable notice, subject to applicable law and the terms of the relevant subscription.

JurisFlow may change its pricing from time to time. Where a price change materially affects an existing subscription, reasonable notice shall be provided before the change takes effect.

Taxes, levies or transaction charges applicable to a subscription may be payable by the User where required by law.

19. Free trials and promotional access

JurisFlow may offer free trials, promotional access or limited-feature accounts.

Unless expressly stated otherwise, trial or promotional access does not create a continuing entitlement to free use of the Platform.

JurisFlow may modify or terminate a trial or promotional programme in accordance with its applicable terms.

20. Intellectual property

All rights, title and interest in JurisFlow and its underlying technology belong to JurisFlow or its licensors.

This includes, without limitation:

  • software;
  • source and object code;
  • interfaces;
  • design elements;
  • databases;
  • system architecture;
  • logos;
  • trademarks;
  • trade names;
  • documentation;
  • graphics;
  • visual elements;
  • Platform functionality;
  • compilations;
  • reports and system-generated materials; and
  • other proprietary materials.

Except as expressly permitted by these Terms, Users may not copy, reproduce, modify, distribute, sell, license, lease, reverse-engineer or commercially exploit any part of JurisFlow without prior written authorisation.

Nothing in these Terms transfers ownership of JurisFlow intellectual property to a User.

21. Feedback and suggestions

If you provide suggestions, recommendations, comments or other feedback concerning JurisFlow, you grant JurisFlow permission to use that feedback for the development, improvement and operation of its Services without compensation or obligation to you, provided that such use does not disclose confidential Client Data or personal information contrary to applicable law.

22. Platform availability

JurisFlow will use reasonable efforts to maintain availability of the Platform.

However, uninterrupted or error-free operation cannot be guaranteed.

The Platform may become temporarily unavailable because of:

  • scheduled maintenance;
  • system upgrades;
  • security measures;
  • technical failures;
  • internet or telecommunications failures;
  • third-party service interruptions;
  • cybersecurity incidents;
  • force majeure events; or
  • other circumstances beyond JurisFlow's reasonable control.

JurisFlow may modify, suspend or discontinue particular features where reasonably necessary for security, legal, technical or operational reasons.

23. Backups and data retention

JurisFlow may maintain backups of information stored through the Platform in accordance with its technical and operational procedures.

Backups are intended to support service continuity and recovery. They do not relieve Users of their responsibility to maintain appropriate records and copies of critical information.

Following termination or expiry of an account, Client Data may be retained, deleted or returned in accordance with the applicable subscription terms, the Privacy Policy, technical requirements and applicable law.

Where the law requires retention of information, JurisFlow may retain such information for the applicable statutory period.

24. Suspension and termination

JurisFlow may suspend or terminate an Account where:

  • the User materially breaches these Terms;
  • the User engages in unlawful activity;
  • the User compromises the security of the Platform;
  • the User fails to pay applicable fees;
  • continued access creates a material security or legal risk;
  • the User provides materially false information;
  • the User misuses the Platform; or
  • suspension or termination is otherwise reasonably necessary to protect JurisFlow, its Users or third parties.

Where reasonably practicable, JurisFlow will provide notice before suspension or termination, except where immediate action is necessary because of security, fraud, legal or other urgent circumstances.

Users may terminate their use of JurisFlow at any time, subject to applicable subscription terms and outstanding obligations.

25. Effect of termination

Termination does not affect rights or obligations that accrued before termination.

Upon termination, the User's right to access the Platform may cease.

Where applicable, JurisFlow may provide a reasonable period within which the User may export available data, subject to the User's subscription, technical limitations, security requirements and applicable law.

JurisFlow may subsequently delete information in accordance with its retention procedures and legal obligations.

26. Warranties and disclaimers

JurisFlow is provided on an "as available" and "as reasonably provided" basis.

To the extent permitted by law, JurisFlow does not warrant that:

  • the Platform will always be available;
  • the Platform will operate without interruption;
  • all information will be complete or error-free;
  • all defects will be corrected;
  • notifications will always be delivered;
  • court or legal information will always be current or accurate;
  • the Platform will satisfy every User's particular requirements; or
  • use of the Platform will produce a particular professional, commercial or legal outcome.

Users remain responsible for exercising appropriate professional judgement and verifying critical information.

Nothing in these Terms excludes a statutory guarantee, right or remedy that cannot lawfully be excluded.

27. Limitation of liability

To the fullest extent permitted by applicable law, JurisFlow shall not be liable for indirect, incidental, special, consequential or punitive loss arising from or connected with the use of the Platform.

This includes, where legally permissible, loss arising from:

  • loss of profit;
  • loss of business opportunity;
  • loss of anticipated savings;
  • loss of reputation;
  • loss arising from professional error;
  • missed deadlines;
  • failure to attend a hearing;
  • failure to file a document;
  • incorrect legal information;
  • loss arising from User misconduct;
  • unauthorised disclosure resulting from compromised User credentials; or
  • temporary unavailability of the Platform.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms relieves a User from responsibility for professional obligations owed to a client.

28. Indemnity

To the extent permitted by law, you agree to indemnify and hold JurisFlow, its officers, employees, contractors and affiliates harmless from claims, liabilities, losses, damages, costs and expenses arising from:

  • your breach of these Terms;
  • your unlawful use of the Platform;
  • your violation of another person's rights;
  • your unauthorised processing or disclosure of personal data;
  • your infringement of intellectual property rights;
  • your professional conduct or omissions; or
  • Content uploaded or submitted by you in violation of law or the rights of another person.

This provision shall not apply to the extent that the relevant loss resulted from JurisFlow's own unlawful conduct or negligence.

29. Professional and regulatory compliance

Users who are legal practitioners must use JurisFlow consistently with applicable professional and regulatory obligations.

This includes applicable requirements relating to:

  • client confidentiality;
  • legal professional privilege;
  • conflicts of interest;
  • professional independence;
  • record keeping;
  • client communication;
  • data protection;
  • court procedure;
  • professional ethics; and
  • other applicable legal and regulatory requirements.

Nothing in these Terms authorises a User to disregard any obligation imposed by legislation, professional rules, court orders or regulatory authorities.

30. Notices and electronic communications

By using JurisFlow, you consent to receiving electronic communications relating to your Account and use of the Platform.

Such communications may include:

  • security alerts;
  • account notifications;
  • service announcements;
  • billing information;
  • system notifications;
  • administrative communications;
  • legal notices; and
  • other communications reasonably necessary to provide the Services.

Certain communications may be delivered through the Platform, email or other electronic channels associated with the User's Account.

31. Modification of the platform

JurisFlow may introduce, modify, suspend or discontinue features from time to time.

Where a material change substantially affects the functionality of a paid Service, JurisFlow will provide reasonable notice where practicable.

Continued use of the Platform following the effective date of revised Terms or material changes may constitute acceptance where such acceptance is legally effective.

32. Modification of these terms

JurisFlow may amend these Terms from time to time to reflect:

  • changes in law;
  • changes in regulatory requirements;
  • changes to the Platform;
  • new services or features;
  • security requirements;
  • commercial developments; or
  • other legitimate operational considerations.

The updated Terms will be made available through the Platform or JurisFlow website.

The "Last Updated" date will identify the most recent version.

Where required by law, JurisFlow will provide additional notice or obtain renewed consent.

33. Governing law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Subject to the dispute-resolution provisions applicable to the relevant User or subscription, the courts of competent jurisdiction in Nigeria shall have jurisdiction over disputes arising from or relating to these Terms.

Nothing in this provision prevents a party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

34. Dispute resolution

JurisFlow encourages Users to first attempt to resolve disputes through good-faith communication with JurisFlow.

Where a dispute cannot be resolved informally, the parties may agree to refer the dispute to mediation or arbitration in accordance with applicable Nigerian law.

Nothing in this clause prevents a party from seeking urgent judicial relief where necessary to protect confidential information, personal data, intellectual property, security or other legally protected interests.

35. Force majeure

JurisFlow shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, war, civil disturbance, governmental action, telecommunications failures, widespread cyber incidents, power failures, internet infrastructure failures, epidemics, strikes and failures of third-party infrastructure.

36. Severability

If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.

The remaining provisions shall continue in full force and effect.

37. Waiver

A failure or delay by JurisFlow to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

A waiver shall be effective only where expressly communicated by an authorised representative of JurisFlow.

38. Assignment

A User may not assign or transfer rights or obligations under these Terms without the prior written consent of JurisFlow, except where such transfer is expressly permitted under the applicable subscription arrangement.

JurisFlow may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, corporate reorganisation or transfer of substantially all of its relevant business or assets, subject to applicable law.

39. Entire agreement

These Terms, together with the JurisFlow Privacy Policy and any applicable subscription, order form or additional service terms, constitute the agreement governing your use of JurisFlow.

Where there is a conflict between these Terms and a specific written subscription or enterprise agreement, the specific agreement shall prevail to the extent of the inconsistency.

40. Contacting JurisFlow

Questions, complaints, security concerns or requests concerning these Terms may be directed to the JurisFlow support or legal team through the official contact channels provided on the JurisFlow website or within the Platform.

For security incidents involving confidential client information or personal data, Users should notify JurisFlow promptly through the designated security contact.

41. Acceptance

By clicking "Accept", creating an account, subscribing to JurisFlow, accessing the Platform or otherwise using JurisFlow, you confirm that:

  • you have read and understood these Terms and Conditions;
  • you have authority to enter into these Terms where you act on behalf of an organisation;
  • the information supplied by you is accurate to the best of your knowledge;
  • you will use JurisFlow lawfully and responsibly; and
  • you agree to be legally bound by these Terms and Conditions.
